Greenpath Publishing Ltd is a private limited company which publishes a range of books and magazines on environmental issues. When incorporated in 2009 the company used the pre written articles for a company limited by shares found in The Companies (Model Articles) Regulations 2008 with the addition of the following clause: –
‘In the event of there being a resolution before a general meeting to dismiss a director, that directors shares shall carry 3 times the normal number of votes.’
Greenpath Publishing Ltd has issued 10,000 shares, 2,000 of which are held each by the 3 directors – David, Sarah and George. The remaining 4,000 are held by 10 further shareholders. David and George have become concerned that Sarah has a new partner who is a major motoring contractor and they feel that Sarah now has a conflict of interest with the green publishing policies of the company. They consult you as to whether Sarah may be dismissed as a director.
