The aim of the paper is to analsyse wether the amount of break-up fees has an impact on the voting bahaviors of the shareholders of the target company or not. In fact, in situation of a friendly takeover bid, the management of the target company has to sign a pre-contract with the buyer company, in which is specified the amount of a possible break-up fee. The shareholder of this target company, has then to vote wether they are for this takeover bid or not. The paper should have 7 mains parts:
1) an overall overview of the current situation of M&A in the US market, with a brief comparison with the world scale. This first chapter need to have features of an introduction of the dissertation ==> about 4 pages
2) litterature review (you can find interesting articles on SSRN, JSTOR,…) ==> 6 pages
3) empirical, statistical analysis (you should select a sample of about 100 tender offers and analyse the behavior of their shareholders facing the vote of the takeover bid (Are they influenced by the amount of break-up fees? Do they tend to vote against a tender offer when this amount is small?); this sample should be diversified with regards to company size and industry type; only focus on tender offers of US market and limit our research in those takeover bid of the last five years; important to provide provide excel tables in reference for the statistical analysis) ==> about 5 pages
4) the outcomes of the empirical research and comparison with the litterature review ==> 5 pages
5) limits of our research ==>2 pages
6) Conclusion and recommendations (synthesis, conclusion, recommendations, personal appreciation and arguments) ==> 6 pages
7) summary of the whole paper ==> 2 pages

1) there are grammatical mistakes in the whole paper and sentences are sometimes way too long to allow an easy reading . So I need him to review the whole paper and correct all those mistakes and ensure a logical coherrency of the research. 2) the empirical analysis looks really confusing and contradicting. I need him to further develop this part by including why we chose the paired t statistics for our research and interpret all the rates you find out. I really tried to understand your interpretations but I really think that the analysis of the findings need some further clarifications in order to be understandable for the reader!!!! For instance in the paired sample test you are only talking about equity value and status, neglicating the other variables. Can you please interpret all the variables?! It looks like you are always talking about the same thing. Moreover the whole part looks contradicting. Can you please have a look and it and further develop your analysis?!!!!!?

With regard to the normal distribution of our sample, can you please write a paragraph indicating why we chose the t test and justify the presence of normal distribution of our sample! I need to know why this test is suitable for our sample and how did you manage to get the test done. Since as I know, spss only works to compare changes that have same units, eg variations in the context of a before and after treatment basis. To justify that please add the relevant graphs in the appendices!

As I told you, I need you to integrate a section in which you describes that our sample is suitable for a paired t statics by justifying that it follows a normal distribution. You can reference to the appendix 15 and also talk that the only variable which isn’t normally distributed is the year of acquisition. This can also be mentioned in the limits of this research. ?
With regards to the appendix 15, I need graphs for all the four variables! They need to have a title, legend, source, x and y axes need to have unit or name.
