Irrespective of the fact that a contract is a voluntary, legally binding agreement, there are circumstances where the courts can interfere in the construction of a contractual agreement, outside what is written by the parties. Freedom of Contract The guiding principal of all contractual agreement is freedom of contract . In the case of Mitchel v Finney , two parties entered into a contractual agreement in which they exercised their right of freedom of contract hereby stating the obligations they wish to bind them. There was a breach in the contract. The issue that arose is whether the obligations as stated in the express agreement by the parties should determine their rights and liabilities. Ordinarily, parties to the contract are bound by the expressed term in the contract. If the contract is in writing, it cannot be varied by an oral agreement. In the past, there had been instances where parties excluded their liabilities in writing, but the court held that the defaulting party cannot rely on the exclusion clause in the agreement. This is especially when there is a fundamental breach. However in the photo production case , the court gave the final quietus to the doctrine that a “fundamental breach” of contract deprived the party in breach of the benefit of clauses in the contract excluding or limiting his liability. This decision respected the doctrines of freedom of contract, irrespective of whether the breach is fundamental. In Mitchel v Finney (supra) there were limiting clauses and a fundamental breach. Instead of allowing the doctrine of freedom of contract to ride, the house of Lord per Lord Bridge considered a modern statutory provision giving the court power to override contractual terms excluding or restricting liability, which depends on the court’s view of what is “fair and reasonable ” Evolution The importance of Lord Bridge’s decision are two fold (a) Statutes can limit the rights and liabilities of parties to contract, (b) discretion of the court can come in aid in construing a contract as the test for what is “fair and reasonable” is subjection. Section 55 SGA, 1979 relates to schedule II of the unfair contract Act 1977 in the sense that the former is subject to the latter. In other word, even though a party executes a contract when an attempt is made to obviate the rights, duties and liability is sale of goods implied by law, the extent to which a party that intends to rely in the avoiding the implied terms must cross the hurdle set in schedule II of the unfair contract Act. Conclusion Parties are free to enter into contractual relations. But this freedom is restrained by statutes, and the courts. The statutes ensure that a defaulting party does not escape liability by the mere fact that he cleverly inserted provisions which will relieve him of any liability in an event of breach. The courts in using the naturalist approach of interpretation endeavour that an injured party gets justice.

Construction Project Management: Scenario and Client’s Outline Brief Custom Essay

You represent a ‘Design and Build’ company which has been invited to submit a tender
to the City of Salford (The Client) for the provision a new “Museum of Transport”. In
addition to the museum, the client’s project brief also requires space to be provided for
750 cars and at least 10 Nr. 44-70 seater coaches on the nearby site (see site plan
attached on page 10 & 11).

The site chosen for the new museum is detailed in the
documentation attached to this brief. One part of the site has been known for many
years as the ‘Farmer Norton’ site – it is just across the other side of Peru Street from
the University of Salford’s Adelphi Building, which itself is situated on the corner of Peru
Street and Adelphi Street in Salford. Another piece of vacant land is also available on
the opposite side of Adelphi Street (see map p11). Both plots of land have recently
been used for car-parking and are ‘brown-field’ sites having formerly been used in an
industrial context and therefore must be considered as ‘contaminated’ land.
The City of Salford council is unable to contribute any capital funding to this project but
owns both of the above mentioned sites and will grant both plots of land to the new
museum, free of charge. The current market value of both of these sites would be in
excess of £3 million.
The costs of all construction and any ground remediation necessary prior to
construction is to be borne by the ‘developer/contractor’ (i.e. your organisation) and
Salford City Council will consider an appropriate leaseback or other
rental/lease/purchase scenario following the successful development of the site and
once the building(s) are complete and ready to be occupied. This means that all
development, construction and operating costs are to be borne by your organisation.
The Main tasks:
The City urgently requires a feasibility submission by the developer/contractor (i.e. your
organisation) that will result in a long-term relationship (for a term not exceeding 35
years) to design, build and manage the whole project, and produce the completed
museum and car-park.
You are to act as a Project Manager for your employer (i.e. a Development company &
D&B contractor) and you should undertake the feasibility study and assess possible
design solutions, production methods and management/operational scenarios (see also
‘Success Criteria’ below) and deliver a proposal to your company’s commissioning
client (i.e. the City Council) which takes into account all design, construction, and
project management of their proposed buildings.
It is expected that your solutions to the problems posed will demonstrate
 Innovative and sustainable construction solutions
 Identify reasonable assumptions that enable you to complete the
coursework – please state those assumptions at the beginning of your
report

You will produce a report (2500 words max) with photo’s and graphics as you feel
appropriate.(note I will upload the pdf file for this brief)

here is some explanation from my tutor:Question/Task 3 is about demonstrating that you understand that in order to complete a construction project you need to break it down into smaller mini-projects (or sub-projects). This means that you must PLAN, PROGRAMME and MANAGE RESOURCES (e.g. manpower, machinery, materials, money etc) in a logical order so that you can complete the whole design and construction. As a project manager you have to make sure that you have enough resources available at all times during the whole project. We discussed this in a lot of detail during Semester 1. Your question (below) about ‘costing’ is not correct. You do not need to ‘COST’ the Museum project. This would be done by a QS. However, you do need to think broadly about the whole project and attempt to understand what this project will finally cost your client. You can do this by logging into the BCIS Online facility via the University’s Library SOLAR resources – click on the link on the student website. In BCIS you will find many different public projects listed and among them will be museums and other important public buildings. These building projects are analysed by BCIS in great depth, including total cost, and it is possible to find within BCIS a project similar to the one you are working on. If you research about the project you will get an idea of how to break your Museum project down into a series of less complex mini-projects foundations, walls, roof, internal fit-out, external works, professional fees etc etc; and also the time scales likely to be needed for their completion e.g. a £5million job may take 2 or 3 years to design and build. Once you have decided these details you can go on to split your Museum project down into a series of smaller mini-projects and ‘Programme’ them into Microsoft Project or VICO or other Programming software that you can use to display, graphically, how you intend to control your project on behalf of a client.
